1. Agreement Overview

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Python Techs LLC (“Company,” “we,” “us”) and the client (“you,” “Client”) for digital marketing services including Social Media Marketing, Google Ads Management, and Digital Marketing.

By hiring our services or signing a service agreement, you agree to these Terms.

2. Services Provided

Python Techs LLC offers the following services:

• Social Media Marketing & Management

• Google Ads Campaign Creation & Management

• Facebook & Instagram Advertising

• Search Engine Optimization (SEO)

• Content Creation & Strategy

• Digital Marketing Consulting

• Analytics & Performance Reporting

Specific services, deliverables, and timelines will be outlined in a separate Service Agreement or Proposal provided to each client.

3. Payment Terms

• All fees are due before work begins unless otherwise agreed in writing

• Monthly retainer fees are due on the 1st of each month

• Accepted payment methods: Credit/Debit Card, Bank Transfer, PayPal

• Late payments (after 7 days) may result in pause of services

• All prices are in US Dollars (USD)

• Ad spend budgets are separate from our service fees and paid directly to platforms

4. Client Responsibilities

You agree to:

• Provide accurate business information and materials needed

• Give necessary access to ad accounts, social media, and websites

• Respond to communications within 3 business days

• Ensure all content you provide is legal and does not infringe copyrights

• Follow all platform policies (Google, Meta, etc.)

• Provide ad spend budget separately from service fees

5. Our Responsibilities

Python Techs LLC agrees to:

• Deliver services as described in your Service Agreement

• Manage your campaigns professionally and ethically

• Provide regular performance reports

• Communicate campaign updates in a timely manner

• Protect your account credentials and business information

• Comply with all Google, Meta, and platform advertising policies

6. No Results Guarantee

Digital marketing results depend on many factors including market conditions, competition, ad budgets, and platform algorithms. Python Techs LLC does NOT guarantee:

• Specific Return on Investment (ROI)

• A specific number of leads or sales

• First page Google rankings

• Specific social media follower counts

We commit to using best practices and professional expertise to maximize your results.

7. Intellectual Property

• Content, strategies, and reports created by Python Techs LLC remain our intellectual property until full payment is received

• Upon full payment, client owns all deliverables created specifically for their campaign

• Python Techs LLC retains the right to use campaign results (with no identifying info) for internal analytics

• Client-provided logos, images, and content remain the property of the client

8. Confidentiality

Both parties agree to keep confidential all business information, strategies, pricing, and campaign data. This obligation survives termination of the service agreement for 2 years.

9. Contract Duration & Cancellation

• Month-to-month contracts: Cancel with 14 days written notice

• 3-month contracts: Early termination fee of 50% of remaining contract value

• 6-month contracts: Early termination fee of 30% of remaining contract value

• Cancellation requests must be submitted in writing to pythontechsllc@gmail.com

• Upon cancellation, all active campaigns will be paused within 48 hours

10. Account Access & Ownership

• Client retains full ownership of all ad accounts, social media pages, and websites

• Python Techs LLC will only request necessary access to manage agreed services

• Upon termination, Python Techs LLC will remove its access within 5 business days

• We will never transfer ownership of your accounts without written consent

11. Limitation of Liability

Python Techs LLC’s total liability shall not exceed the total fees paid by the client in the last 30 days. We are not liable for:

• Loss of revenue or profits due to campaign performance

• Platform policy changes by Google, Meta, or other platforms

• Account suspensions caused by client policy violations

• Third-party platform outages or technical issues

• Indirect or consequential damages of any kind

12. Indemnification

Client agrees to indemnify and hold harmless Python Techs LLC, its members, employees, and agents from any claims, damages, or expenses arising from:

• Client-provided content that violates laws or third-party rights

• Client’s violation of platform terms of service

• Misrepresentation of products or services in advertising

13. Platform Policy Compliance

Client agrees that all advertised products and services comply with:

• Google Ads Policies

• Meta (Facebook/Instagram) Advertising Policies

• All applicable US federal and Michigan state laws

• FTC guidelines on advertising and endorsements

Python Techs LLC reserves the right to refuse or pause campaigns that violate platform policies or applicable laws.

14. Dispute Resolution

• Disputes will first be addressed through good-faith negotiation

• If unresolved within 30 days, disputes will go to mediation

• If mediation fails, disputes will be resolved in Michigan State courts

• Governing law: State of Michigan, USA
15. Modifications to Terms

Python Techs LLC reserves the right to update these Terms at any time. Clients will be notified via email 14 days before changes take effect. Continued use of services constitutes acceptance.

16. Entire Agreement

These Terms, along with your Service Agreement and our Privacy Policy and Refund Policy, constitute the entire agreement between you and Python Techs LLC.
